Airtable's Fire-Sale Is a Red Flag for SaaS Unicorn Offers

Bending Spoons has agreed to buy Airtable in an all-cash deal with an enterprise value of $1.285 billion, the companies announced August 4. Airtable's implied equity value comes to about $2.25 billion once its cash reserves are factored in, according to Bending Spoons' investor announcement. It's the Italian holding company's first acquisition since it went public on the Nasdaq on July 1, and the deal is expected to close later this year, pending regulatory approval.

The Information first reported the roughly $1.3 billion price Tuesday. It's a steep comedown from Airtable's December 2021 valuation of $11.7 billion, set during a Series F round at the height of pandemic-era SaaS investing, Bloomberg reported. Airtable shares had already been trading on secondary markets at around $4 billion earlier this year, according to Bloomberg. Airtable says it now generates roughly $480 million in annual recurring revenue, up more than 20 percent year over year, and serves more than 500,000 organizations, including 80 percent of the Fortune 100.

Bending Spoons built its business on buying software brands at a discount, then cutting costs hard. After acquiring Evernote in 2022, it laid off 129 employees in February 2023, telling TechCrunch the company "has been unprofitable for years." When Bending Spoons bought WeTransfer in 2024, it cut about 75 percent of the file-sharing company's staff of more than 350 people, TechCrunch reported, with CEO Luca Ferrari saying the goal was a smaller, more focused organization built for the long term. The company's portfolio also includes Meetup, Vimeo, AOL and Eventbrite, all bought using a similar playbook of acquiring established brands and restructuring them toward profitability.

What this means for job seekers

Airtable's drop from an $11.7 billion valuation to a $1.3 billion sale is a reminder that a "unicorn" badge earned in 2021 says nothing about a company's finances today. If you're weighing an offer from a similarly aged SaaS company, ask directly about revenue growth, cash runway, and whether the business has raised a down round or explored a sale — reasonable questions for a final-round conversation, and ones a legitimate employer should be able to answer. Reviewing how to negotiate from a position of leverage matters just as much when a company's story is complicated as when it's straightforward.

Equity terms deserve the same scrutiny. If a company you're vetting gets acquired before your options or RSUs vest, the buyer typically decides whether to accelerate, convert, or cash out those grants — terms set in the merger agreement, not guaranteed to employees. Ask any pre-IPO or late-stage SaaS employer what happens to unvested equity in a sale, and get the answer in writing. Bending Spoons' own record — cutting Evernote's staff in 2023 and three-quarters of WeTransfer's in 2024 — is a concrete data point on what promises of "long-term commitment," the phrase Airtable CEO Howie Liu used to describe the deal, can look like in practice.
